COMPREHENSIVE SERVICES AGREEMENT

This Comprehensive Services Agreement ("Agreement") is made and entered into between:

(Hereinafter referred to as "Provider") and the undersigned customer ("Client").

1. SERVICES PROVIDED

1.1. Tool and Machine Rentals: Provider agrees to rent tools and machinery to Client for the agreed rental period. 1.2. Trucking Services: Provider agrees to perform trucking services, including but not limited to construction waste removal and septic services. 1.3. Service Schedule: Services and rentals will be provided on agreed-upon dates and times, subject to availability and scheduling constraints. 1.4. Fees: Applicable rental protection fees and environmental fees will be charged to support equipment maintenance, waste disposal, and regulatory compliance.

2. PAYMENT TERMS

2.1. Payment Due: All payments are due within 14 days of rental return or service completion for Approved Accounts. Account Statements will be sent every 7 days. 2.2. Late Payments: A late fee of 2% of the outstanding balance will be applied every 30 days for overdue invoices. 2.3. Accepted Payment Methods: Payment may be made via Credit Card, Check, E-Transfer, Cash.

3. RESPONSIBILITIES OF CLIENT

3.1. Proper Use of Equipment: Client agrees to use rented equipment only for its intended purpose and in compliance with safety regulations. 3.2. Equipment Care: Client must maintain rented equipment in good working condition and notify Provider of any issues immediately. 3.3. Waste Compliance: Client must ensure that waste materials comply with local regulations and do not include hazardous materials unless specifically agreed upon. 3.4. Septic System Condition: Client must provide necessary access and ensure the septic system is in a suitable condition for service.

4. LIABILITY & INDEMNIFICATION

4.1. Liability Waiver: Provider is not responsible for damages resulting from improper use of rented equipment, pre-existing site conditions, or unforeseen underground obstructions. 4.2. Indemnification: Client agrees to indemnify and hold harmless Provider from any claims, damages, or expenses arising from services performed or equipment rented, except in cases of gross negligence.

5. TERMINATION & DEFAULT

5.1. Termination by Provider: Provider reserves the right to terminate this agreement if Client fails to comply with terms. 5.2. Legal Action: If legal action is required to recover unpaid fees or equipment, Client will be responsible for all associated costs, including attorney fees.

6. GOVERNING LAW

This Agreement shall be governed by the laws of British Columbia, and any disputes shall be resolved in the courts of Alberni-Clayoquot Regional District.
